NOTARIAL DEED

On the eighth of March, two thousand eight (8.03.2008) in the notary public's office in Giżycko, Warszawska st. 24/2, lead by the notary Józefa Tomaszewska-Czerwonka, presented themselves:

THE STATEMENT OF THE FOUNDATION ESTABLISHMENT

CHAPTER ONE

General resolutions

§1.

  1. Those, who have shown up, hereinafter referred to as founders, stated that the Foundation set up under the name "Chefs' Club Foundation", hereinafter referred to as the "Foundation"
  2. The Foundation operates on the basis of Polish law and of the Statute
  3. The Foundation is apolitical and not confined to any religion

§2.

The Foundation shall have a legal status

§3.

  1. The headquarters of the foundation is Wieliczka
  2. The Foundation address is Śledziejowice 446, 32-020 Wieliczka

§4.

  1. Ground operation of the Foundation is the area of Poland, but to the extent necessary for the proper implementation of the objectives, it may also co-operate with foreign institutions and abroad
  2. The Foundation for the purposes of cooperation with foreign countries may use a translation of its name in selected languages
  3. 1.The Foundation has the right to appoint centers, offices, subsidiaries and representative offices at home and abroad

§5.

  1. The Foundation may set up medals, orders and badges of honor and commit them, together with other prizes and awards to individuals and legal people in merit nominated by the Foundation or the Foundation itself
  2. The Foundation may grant an honorary title "A Friend of The Chefs' Club Foundation" to natural and legal people, who cooperate with the Foundation
  3. The Foundation works closely with the Chefs' Club
  4. The Foundation may have its own logos set by the Council of the Foundation
  5. The Foundation may hire Chefs - volunteers, who offer their assistance in carrying out activities related to the Statute

CHAPTER TWO

Purpose and principles of operation of the Foundation

§6

The purpose and the principles of the Foundation are:

  1. Cultivating national and regional cuisine traditions
  2. Completing the knowledge and improving professional skills of the Chefs' Club members
  3. Assistance in organizing and conducting demonstrations, trainings, competitions and exhibitions
  4. Aiming for adequate professional work conditions to cooks and confectioners, both at the premises of work and in competition
  5. Integrating the entire chefs' environment, and people co-working in it
  6. Improving the conditions of Polish gastronomy
  7. Creating good culinary practice outside the Republic of Poland
  8. The development of native gastronomy
  9. The action for the organization, of which the statutory objectives in more general sense, the activities aimed at strengthening the Polish culinary tradition
  10. Supporting activities and based on partnership rules cooperation with all associations, having in their ranks chefs, cooks and confectioners from all over Poland
  11. Promoting and supporting Polish gastronomy at home and abroad
  12. The dissemination of knowledge about gastronomy
  13. Protecting the interests of professional and economic environments associated with gastronomy
  14. Promoting professional publications

§7.

The Foundation pursues its objectives, in particular through

  1. Organizing catering events
  2. Support in all possible ways to any action in catering industry
  3. Conducting educational and publishing activities
  4. Cooperation with local authorities, governmental and non-governmental organizations in the field designated for the purposes of the Foundation
  5. Promoting schools, training and educational centers
  6. Recommendation of schools, training and educational centers
  7. Promotion of professional publications in the field of gastronomy
  8. Conducting trainings in gastronomy
  9. Cooperation with national and foreign organizations, to the extent of the objectives of the Foundation
  10. Active participation in national and international conventions, conferences, trade fairs, exhibitions, etc. related to catering
  11. The Foundation also carries out the statutory objectives through membership in organizations bringing together foundations with the statutory purposes of identical or similar to the objectives of the Foundation

§8.

In order to achieve its objectives, the Foundation may support the activities of other people and institutions in line with the objectives of the Foundation

CHAPTER THREE

Foundation's assets and income

§9.

The Fund incorporation consists of the amount ..................., dealing with the amount of ................. paid by each of the founders, ie Karol Okrasa, Dariusz Andrzej Strusiński, Robert Sowa, Jerzy Pasikowski, Jarosław Walczyk, Marek Widomski, Wiesław Bober, Grzegorz Labuda, Mirosław Drewniak, Rafał Targosz, Waldemar Hołówka, Zbigniew Kurleto, Marcin Budynek, Kurt Scheller, Teofilos Vafidis

§10.

Foundation revenue may come in particular from:

  1. gifts, bequests, legacies
  2. donations, subsidies and grants
  3. collections, public events, lotteries and other similar social shares held by the Foundation in accordance with the applicable provisions
  4. the Foundation assets
  5. business activities
  6. interest from bank capital
  7. financial operations
  8. dividends and the profits from shares
  9. and other sources of legitimate

§11.

Income from donations, bequests, legacies can be used to achieve the objectives of the Foundation with respect to the will of the heirs or donors

  1. In matters of inheritance and donations the statements required by the law are composed by the Executive Board
  2. In the case of a call of the Foundation to inheritance the Executive Board shall make a statement about the will of the decline of the benefits of inventory

§12.

In order to achieve the objectives of the Foundation, it can lead an economic activity independently or in cooperation with other entities in the country and abroad in accordance with the applicable provisions

§13.

Economic activity may be carried out by the extracted plants

§14.

The Foundation may carry on business activities in terms of:

  1. PKD 18 - PRINTING AND REPRODUCTION OF RECORDED MEDIA
  2. PKD 56 - SERVICE ACTIVITIES RELATED TO GASTRONOMY
  3. PKD 58 - PUBLISHING ACTIVITIES
  4. PKD 70.2 - MANAGEMENT CONSULTANCY
  5. PKD 73 - ADVERTISING, MARKET AND PUBLIC OPINION RESEARCH
  6. PKD 82.3 - THE ACTIVITY OF THE ORGANIZATION OF TRADE FAIRS, EXHIBITIONS AND CONGRESSES
  7. PKD 85 - EDUCATION
  8. PKD 92 - ACTIVITIES ASSOCIATED WITH GAMBLING AND BETTING

§15.

Income derived from business activities carried out by the Foundation will be allocated for the implementation of statutory objectives of the Foundation and the development of business

CHAPTER FIVE

Bodies of the Foundation

Authorities of the Foundation

§16.

  1. The authorities of the Foundation are:
    1. Council of the Foundation
    2. 1.Executive Board
  1. Members of the Council of the Board do not receive remuneration for participation in the work of that body, except for reimbursement of documented expenses associated with participation in the work of that body, including travel costs

The Council of the Board

§17.

  1. The Council is a decisive body of the Foundation and is authorized to control and to issue opinions
  2. The Council of the Foundation consists of three or sixteen members, including the President of the Board. The Council of the Board under the Statute strength shall consist of the Funders
  3. Members of the first Council of the Board shall be appointed by the Funders. Next or members to replace people who no longer perform this function or for the expansion of the Council are appointed by the Council in its decision
  4. In particularly justified cases, an appeal of a member of the Council and deprivation of membership in the Council, may be as a result of a resolution unanimously made by the other members of the Council of the Board. Funders cannot thus be deprived of membership in the Board
  5. Membership in the Council of the Board shall cease in the event of resignation submitted in writing and the death of a member of the Board
  6. The membership of the Council of the Board and the performance of duties in the Management Council of the Board cannot be combined. It is allowed to provide work for the Foundation by a member of it.
  7. If a member of the Council of the Board is appointed, with his consent, to the Executive Board, membership in the Council of the Board of such a person shall be suspended, according to the time of the performance
  8. The Council of the Board shall elect the President from among its own circle. The President of the Council of the Board directs the work of the Council of the Board, shall represent the Council of the Board on the outside and shall convene and chair the Board meetings

§18.

  1. The Council of the Board shall meet at least once a year
  2. The Council of the Board shall be convened by the President of the Board on its own initiative or at the request of the Executive Board and founder, submitted in writing
  3. The Council of the Board shall take its decisions in the form of resolutions by simple majority, in the event of equality in voting shall cast the deciding vote of the President of the Council of the Board

§19.

The tasks of the Council, in particular are:

  1. Appointment and dismissal of the President and members of the Executive Board
  2. Making decisions about hiring managers and setting their salaries
  3. Evaluation of the Executive Board, accepting the annual report or balance sheet and providing discharge to the members of the Executive Board
  4. Monitoring the ongoing activities of the Executive Board
  5. Defining the main directions of activities of the Foundation
  6. Supervision over the activities of the Foundation
  7. At the request of the Executive Board of the Foundation decision to merge with another Foundation or the liquidation of the Foundation

§20.

At the request of the Executive Board the Council of the Board will decide on merger with a different Foundation or the liquidation of the Foundation

Executive Board

§21.

  1. The Executive Board shall consist of not more than five members, including the Chairman of the Board appointed by the Council of the Board for a three-year term
  2. As a member of the Board, a person may act by more than one term
  3. The Council of the Board appoints the Chairman
